On July 23, 2019, the Board of Directors (the “Board”) of The Simply Good Foods Company (the “Company”), pursuant to the Amended and Restated Certificate of Incorporation of the Company and the Amended and Restated Bylaws of the Company, approved an increase of the size of the Board from ten directors to eleven directors, and appointed James White to serve as a Class I director on the Board. The Board also appointed Mr. White to serve on the Nominating and Corporate Governance Committee of the Board.
As compensation for his service on the Board, Mr. White will receive the Company’s standard compensation for non-employee directors, including a pro-rated annual equity award. There are no understandings or arrangements with any person pursuant to which Mr. White was selected as a director, and Mr. White is not party to any related party transaction required to be reported pursuant to Item 404(a) of Regulation S-K.
The Board considered the independence of Mr. White under Nasdaq listing standards and concluded that he is an independent director under the applicable Nasdaq standards.
